C corporation

A corporation taxed under the regular corporate income-tax rules unless another valid tax election applies. Legal form and tax classification are separate questions.

Separate legal ownership from tax treatment

Identify the entity that would own the rental, its owners and the people authorized to act for it. Corporate formation, a trade name and a federal tax classification answer different questions. A doing-business-as name does not by itself create a corporation. Review formation documents, governance, signature authority and continuing administration with qualified advisers rather than inferring them from the C-corporation label.

Under regular corporate income-tax treatment, the corporation is taxed on taxable income, and distributions can create shareholder-level tax when treated as dividends. This is often called double taxation; it is not ordinary pass-through treatment. IRS LLC tax guidance also explains that an LLC can have different federal classifications. An LLC is not automatically tax-free, and an eligible S election has its own requirements. Have an accountant determine the applicable returns and treatment of actual payments.

For a rental purchase, compare financing, insurance, administration, ownership changes, distributions and eventual sale or transfer consequences across suitable structures. Have legal counsel review liability protections and their limits, including personal guarantees and the owner's own conduct. Keep entity funds and records properly organized. No structure is universally best for rental property or guarantees lower tax, financing approval or protection from every claim. Rentari does not form an entity or make a tax election for the owner.
